ASRC Early Bird 2025 Prize Drawing Official Rules

NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE DOES NOT INCREASE YOUR CHANCE OF WINNING. VOID WHERE PROHIBITED BY LAW.

1. Eligibility for Early Bird Prizes: To enter, you must be either:
   • A shareholder of Arctic Slope Regional Corporation (“ASRC”), or
   • A custodian for an ASRC shareholder with voting shares.
     
2. How to Enter Early Bird Prize Drawing: To enter, a shareholder or custodian must successfully submit a paper proxy to ASRC or submit a proxy through the ASRC Stock Assistance Portal (located at asap.iaminupiaq.com) (the “Website”) on or before 5 P.M. Alaska Time, on May 23, 2025. Limit one entry per proxy.
   
3. Date of Drawings: The drawing will take place between May 23, 2025, and June 30, 2025.
   
4. Prizes: There are twenty-nine (29) Early Bird Prizes, which include the following:
   • One (1) all-terrain vehicle (ATV),
   • One (1) cruise package for two travelers,
   • Five (5) round trip airline tickets for two travelers,
   • Two (2) iPad Airs (11-inch model),
   • Ten (10) one-thousand-dollar ($1,000) cash prizes,
   • Ten (10) five-hundred-dollar ($500) cash prizes,
     
     All expenses and costs associated with the acceptance or use of the prize that are not expressly specified in the foregoing prize description are the responsibility of the winner. Limit one prize per entry.
     
     No substitution, cash redemption, or transfer of the right to receive the prize permitted, except at the discretion of ASRC, which reserves the right to substitute a prize of equal or greater value. The approximate retail value of the ATV is $15,099, the approximate retail value of the cruise package for two travelers is $2,500, the approximate retail value of the round-trip airline tickets for two travelers is $3,000, and the approximate retail value for an iPad Air is $600. Federal, state, and local taxes and any other costs or expenses related to acceptance and use of the prize not specified are the sole responsibility of the winner and the winner’s parent or legal guardian. An IRS Form 1099 will be issued if required by law. ASRC makes no representations or warranties concerning the safety or performance of any prizes awarded.
     
5. Selection of Winner and Awarding of Prize: Eligible entries will be accepted during the period from May 2, 2025, to 5 P.M. Alaska Time on May 23, 2025. ASRC will hold twenty-nine (29) drawings. A prize winner is selected at random from among all eligible entries submitted. At ASRC’s sole discretion, winners will be notified by phone and/or e-mail once his or her eligibility has been verified. Once a winner has been selected for a prize, the winner will be removed from the remaining drawings and will not be eligible for the remaining prizes, if any. Prize winners may disclaim their prize by notifying ASRC in writing within one (1) month of the prize drawing.
   
   Return of any notification as undeliverable may result in disqualification. If for any reason the winner selected cannot accept the prize or chooses to disclaim the prize, an alternative winner may be selected at ASRC’s discretion. Judges’ decisions are final and binding in all respects. The winners will be contacted no later than June 30, 2025.
   
6. General Rules: Entry constitutes an irrevocable grant of permission to ASRC and its affiliates, subsidiaries, promotional partners, licensees and agents, and those they may designate from time to time, to use the winner’s name, likeness, and city and state of residence, for purposes of trade, publicity or promotion or other purposes, in all media and formats whether now known or later developed, throughout the world in perpetuity, without any additional notice or compensation (except where prohibited by law). Without limitation of the foregoing, by entering the Drawing, the parent or guardian of each entrant agrees that if the entrant is chosen as the winner, ASRC is permitted to display the winner’s name and biographical information online at the Website for public viewing and comment.
   
   ASRC reserves the right at its sole discretion to disqualify any individual who tampers with the entry process and/or to cancel, modify or suspend this Drawing, or to substitute the prize offered, without notice at any time and for any reason. In the event of termination of the Drawing, a notice will be posted online. ASRC is not responsible for (i) lost, misdirected, misplaced, illegible, incomplete, or late entries, or (ii) any act, failure to act, or delay regarding the transmitting or processing of entries. ASRC is not responsible for any typographical or other error in the printing of the offer, administration of the Drawing, or in the announcement of the prize. Void where prohibited or restricted by law. All applicable federal, state, and local laws and regulations apply. ASRC is not responsible for late, lost, delayed, illegible, corrupted, or incomplete entries, incorrect or inaccurate capture of, damage to, or loss of entries or entry information, or any other human or technical errors of any kind relating to the submission, collection, storage, or processing of entries or the administration of the Drawing. Entry times will be determined using ASRC’s computer, which will be the official clock for the Drawing. Caution: Any attempt by a participant to deliberately damage the Website or undermine the legitimate operation of the Drawing is a violation of criminal and/or civil laws and should such an attempt be made, ASRC reserves the right to seek damages from any such participant to the fullest extent of the law. ASRC’s failure to enforce any provision of these Official Rules shall not constitute a waiver of that provision.
   
7. Limitation of Liability: By participating in this Drawing, participants and their parents, guardians and/or legal representatives agree to release, hold harmless and agree not to institute any claim against ASRC and its respective employees, officers, affiliates, agents, advertising and promotions agencies, and representatives from any and all liability whatsoever for any injuries, losses or damages, of any kind, arising from or in connection with, either directly or indirectly, 1) the awarding, acceptance, receipt, possession, use and/or misuse of any prize awarded herein; and/or 2) participation in the Drawing or any prize-related activities, including but not limited to traveling to or from any prize-related activity. Entrants, participants, their parents, guardians and/or legal representatives hereby waive all rights to claim punitive, incidental, or consequential damages, or any other damages, including attorneys’ fees, and further waive all rights to have damages multiplied or increased. All issues and questions concerning the construction, validity, interpretation, and enforceability of these Official Rules, or the rights and obligations of entrants and ASRC in connection with this Drawing, shall be governed by, and construed in accordance with, the substantive laws of the State of Alaska, without regard to Alaska conflict of law principles.

ASRC Annual Meeting 2025 Prize Drawing Official Rules

NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE DOES NOT INCREASE YOUR CHANCE OF WINNING. VOID WHERE PROHIBITED BY LAW.

1. Eligibility for Annual Meeting Prizes: To enter, you must be either:
   • A shareholder of Arctic Slope Regional Corporation (“ASRC”), or
   • A custodian for an ASRC shareholder with voting shares.
     
2. How to Enter Annual Meeting Prize Drawing: To enter, a shareholder or custodian must successfully submit a paper proxy to ASRC or submit a proxy through the ASRC Stock Assistance Portal (located at asap.iaminupiaq.com) (the “Website”) on or before 5 P.M. Alaska Time, on June 20, 2025. A shareholder or custodian may also vote in person at the annual meeting in Point Hope, Alaska on June 21, 2025, to enter the annual meeting prize drawing. Limit one entry per proxy.
   
3. Date of Drawings: The drawing will take place between June 20, 2025, and June 30, 2025.
   
4. Prizes: There are sixty-one (61) Annual Meeting Prizes, which include the following:
   • One (1) snowmachine, and
   • Sixty (60) cash prizes ranging from one-thousand-dollars ($1,000) to six-thousand-dollars ($6,000).
     
     All expenses and costs associated with the acceptance or use of the prize that are not expressly specified in the foregoing prize description are the responsibility of the winner. Limit one prize per entry.
     
     No substitution, cash redemption, or transfer of the right to receive the prize permitted, except at the discretion of ASRC, which reserves the right to substitute a prize of equal or greater value. The approximate retail value of the snowmachine is $14,000.  Federal, state, and local taxes and any other costs or expenses related to acceptance and use of the prize not specified are the sole responsibility of the winner and the winner’s parent or legal guardian. An IRS Form 1099 will be issued if required by law. ASRC makes no representations or warranties concerning the safety or performance of any prizes awarded.
     
5. Selection of Winner and Awarding of Prize: Eligible entries will be accepted from May 2, 2025, to June 21, 2025.  ASRC will hold sixty-one (61) drawings. A prize winner is selected at random from among all eligible entries submitted. At ASRC’s sole discretion, winners will be notified by phone and/or e-mail once his or her eligibility has been verified. Once a winner has been selected for a prize, the winner will be removed from the remaining drawings and will not be eligible for the remaining prizes, if any. Prize winners may disclaim their prize by notifying ASRC in writing within one (1) month of the prize drawing.

4. Prizes: There are sixty (60) Info Meeting Prizes, which include the following:
   • Sixty (60) eight-hundred-dollar ($800) cash prizes.
     
     All expenses and costs associated with the acceptance or use of the prize that are not expressly specified in the foregoing prize description are the responsibility of the winner. Limit one prize per entry.
